Agreement to Arbitrate: You and Icicle agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service (collectively, "Disputes") will be resolved by binding individual arbitration, rather than in court, except that either party may bring claims in small claims court if they qualify.
No Class Actions: YOU AND ICICLE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING.
Arbitration Rules: The arbitration will be administered by JAMS pursuant to its Comprehensive Arbitration Rules and Procedures. The arbitration will be conducted in the English language by a single arbitrator.
Arbitration Fees: Payment of all filing, administration, and arbitrator fees will be governed by JAMS rules. If your claim is for $10,000 or less, Icicle will pay all arbitration fees.
Venue: Any arbitration or court proceeding shall take place in Los Angeles County, California, and you consent to personal jurisdiction in such courts.
Opt-Out: You may opt out of this arbitration agreement by sending written notice to icicleapp@gmail.com within 30 days of first accepting these Terms. Your notice must include your name, email address, and a clear statement that you wish to opt out of the arbitration agreement.
Survival: This arbitration agreement will survive termination of your account or these Terms.
These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict-of-law principles.
For any claims not subject to arbitration, you agree to submit to the exclusive jurisdiction of the state and federal courts located in Los Angeles County, California, and you waive any jurisdictional, venue, or inconvenient forum objections to such courts.
Icicle reserves the right to modify or discontinue the Service or update these Terms at any time. We will provide notice of material changes by posting the updated Terms on the Service or by other means. Continued use of the Service after changes constitutes acceptance of the revised Terms.
If you do not agree to the modified Terms, you must stop using the Service and delete your account.
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect and enforceable.
These Terms, together with the Privacy Policy and Community Guidelines, constitute the entire agreement between you and Icicle regarding the use of the Service and supersede all prior agreements, representations, and understandings.
